Terms of Use
These Terms govern your access to and use of Chaperone Health, including our websites, applications, peer-support services, AI-assisted features, tools, assessments, programs, resources, messaging, scheduled sessions, rewards, and related services.
These Terms of Use (“Terms”) govern your access to and use of Chaperone Health, including our websites, applications, peer-support services, AI-assisted features, tools, assessments, programs, resources, messaging, scheduled sessions, rewards, and related services.
By creating an account, clicking to accept these Terms, accessing Chaperone, or using the Service, you agree to these Terms. If you do not agree, do not use Chaperone.
1. Who May Use Chaperone
Chaperone is available only to adults who are at least 18 years old. By creating an account or using Chaperone, you confirm that you are at least 18, have the legal capacity to agree to these Terms, and will use the Service only where Chaperone is offered.
Chaperone is offered as part of its initial launch only to adults located in Iowa, Minnesota, or Wisconsin. We may change geographic availability as the Service evolves. If we learn that an account is being used by someone under 18 or in a location where Chaperone is unavailable, we may restrict or close the account.
2. What Chaperone Is
Chaperone provides low-barrier peer support and related self-guided support services. Features may include:
- Peer support from trained Peer Coaches
- Live and scheduled support conversations
- Asynchronous messaging
- AI-assisted support and navigation
- Self-guided tools and exercises
- Assessments and check-ins
- Structured support programs
- Educational resources
- Personalized recommendations
- Rewards and engagement features
Chaperone is not health care.
Chaperone is not therapy, psychotherapy, medical care, psychiatric care, diagnosis, clinical treatment, or emergency care. Peer Coaches are not acting as your physician, therapist, psychologist, psychiatrist, or other licensed healthcare provider through Chaperone unless a separate service explicitly states otherwise. Using Chaperone does not create a physician-patient, therapist-client, or other healthcare-provider relationship.
Chaperone does not diagnose medical or mental-health conditions, prescribe medication, or provide medical treatment plans. Nothing provided through Chaperone should be treated as a substitute for qualified professional advice when such advice is appropriate.
3. Chaperone Is Not an Emergency Service
If there is an immediate emergency or danger:
Call 911 or your local emergency service. In the United States, you may call or text 988 to reach the Suicide & Crisis Lifeline.
Do not use Chaperone for an emergency or an immediate safety crisis. Chaperone cannot guarantee immediate availability, continuous monitoring, or immediate review of messages. Peer Coaches may support users through difficult situations, but they are not emergency responders or crisis-treatment providers.
If information shared through Chaperone creates a serious safety concern, Chaperone or its personnel may take actions permitted or required by applicable law, including providing safety information, escalating internally, or disclosing or reporting information where legally permitted or required.
4. Peer Support
Peer Coaches provide human support based on training, supportive communication skills, relevant experience, and the Chaperone peer-support model. Peer support may include listening, reflection, encouragement, discussing coping strategies, identifying small next steps, accountability, follow-up, and sharing relevant resources or tools.
Different Peer Coaches may have different communication styles, backgrounds, training, lived experiences, schedules, and areas of familiarity.
Coach availability is not guaranteed
Chaperone may recommend or allow you to select a Peer Coach, but we do not guarantee immediate access to a Coach, availability of a specific Coach, continuous availability of a preferred Coach, a particular response time, a particular support modality, or that the same Coach will always be available. We may offer alternative Coaches, scheduling options, waitlists, or other support paths when your preferred option is unavailable.
5. Artificial Intelligence
Chaperone uses artificial intelligence in certain features. AI may assist with self-guided support, summaries, navigation, topic identification, recommendations, Coach matching, check-ins, personalization, and Coach-support workflows.
AI limitations
AI-generated information may be incomplete, inaccurate, inappropriate for your circumstances, or based on misunderstood context. Do not rely on AI-generated content for medical diagnosis, treatment or medication decisions, emergency decisions, legal advice, financial advice, or other decisions requiring qualified professional judgment. AI features do not replace human judgment or professional care.
Private Chaperone conversations and consumer health data may be processed by service providers that help deliver AI features. Chaperone does not authorize those providers to use private Chaperone conversations or consumer health data to train general-purpose AI models. Information used for Chaperone’s internal model-improvement work is de-identified before it enters the improvement dataset.
6. Accounts
Some Chaperone features require an account. You agree to provide reasonably accurate information, keep account information current, protect your login credentials, not knowingly permit another person to use your account, and notify us if you believe your account has been compromised.
You may not impersonate another person or create accounts for fraudulent, abusive, deceptive, or improper purposes. You are responsible for activity conducted through your account to the extent permitted by law.
7. Communications and Messaging
Chaperone may offer live, scheduled, and asynchronous communications. Asynchronous messages are not continuously monitored and may not be reviewed immediately. Do not use asynchronous messaging for emergencies or matters requiring immediate action.
By providing an email address or phone number, you authorize Chaperone to send service-related communications such as authentication codes, account and security notices, session confirmations and reminders, support notifications, privacy or legal notices, and important service updates. Chaperone currently communicates by email, SMS, and in-app notification according to available settings and preferences. Standard message and data rates may apply to SMS.
8. Scheduled Sessions
Scheduled availability depends on Coach schedules, operational capacity, and other service constraints. You agree to make reasonable efforts to attend scheduled sessions or cancel or reschedule when you cannot attend.
Chaperone may establish reasonable rules concerning scheduling windows, cancellation, rescheduling, late arrival, no-shows, session duration, Coach substitutions, extensions, and service interruptions. Those rules may be displayed within the scheduling experience.
Chaperone may cancel, reschedule, reset, or reassign a session when reasonably necessary because of Coach availability, technical issues, safety considerations, service interruptions, or other operational circumstances. The initial launch does not include paid direct-to-consumer subscriptions, so a missed session does not create a consumer subscription charge under these Terms.
9. Tools, Assessments, Programs, and Resources
Chaperone may provide assessments, check-ins, tools, exercises, structured programs, educational materials, and recommendations. These features are intended for support, reflection, education, engagement, and self-guided use.
- Assessments are not medical diagnoses.
- Scores should not be interpreted as diagnoses by themselves.
- Tools and programs do not constitute therapy or medical treatment.
- Recommendations are not guarantees of effectiveness.
- Participation does not create a healthcare-provider relationship.
10. Your Content
“Your Content” means information you choose to submit through Chaperone, including messages, responses, notes, goals, assessment answers, tool entries, feedback, and similar information. You retain whatever ownership rights you otherwise have in Your Content.
You grant Chaperone a limited, non-exclusive license to host, store, process, reproduce, transmit, organize, analyze, summarize, and otherwise use Your Content only as reasonably necessary to provide, secure, maintain, personalize, support, and improve Chaperone consistent with these Terms and our privacy disclosures. This includes delivering messages, saving progress, creating summaries, providing recommendations, operating AI-assisted features, supporting Peer Coaches, maintaining safety and quality processes, and troubleshooting the Service.
This license does not authorize third-party AI providers to use private Chaperone conversations or consumer health data to train their general-purpose AI models.
11. Privacy
Our Privacy Policy explains how we collect, use, disclose, retain, and protect personal information. Our Consumer Health Data Privacy Notice provides additional information about sensitive support and consumer health data. Our Your Privacy Rights page explains how to submit privacy requests.
Chaperone support conversations are treated as private information under our privacy practices, but they are not legally privileged communications merely because they occur through Chaperone. Communicating with a Peer Coach does not create the same legal privilege that may exist in certain relationships with attorneys or licensed healthcare professionals.
12. Acceptable Use
You may use Chaperone only for lawful purposes and in a manner consistent with the safety and operation of the Service. You may not:
- Threaten, harass, stalk, abuse, or intentionally intimidate another user, Peer Coach, employee, or contractor.
- Use hate speech, targeted abusive conduct, or sexual harassment.
- Attempt to exploit, groom, or solicit minors.
- Impersonate another person for fraudulent or harmful purposes.
- Use multiple or false accounts to manipulate rewards, eligibility, access, or platform systems.
- Attempt to gain unauthorized access to another account, system, database, or network.
- Circumvent security, access, eligibility, geographic, or usage restrictions.
- Introduce malware or malicious code.
- Scrape, crawl, harvest, or systematically extract Chaperone content or data except where expressly permitted.
- Reverse engineer protected source code except to the extent such restriction is prohibited by law.
- Use Chaperone for fraud, spam, scams, illegal activity, or commercial solicitation.
- Record or distribute private conversations without authorization where prohibited by law.
- Violate another person’s privacy or intellectual-property rights.
- Manipulate the Service to improperly generate rewards, engagement credit, or other benefits.
- Use automated systems or bots to interact with Chaperone unless expressly authorized.
13. Rewards and Points
Chaperone may allow eligible users to earn points for certain activities and redeem those points for rewards made available through the Service.
Nature of points
Points are promotional rewards. Points are not cash, stored value, currency, property, a deposit, or a bank or payment-account balance. Unless a specific program clearly states otherwise, points cannot be redeemed for cash, sold, transferred, assigned, pooled, combined between accounts, or used except through reward options made available by Chaperone.
Expiration and account closure
Points generally do not expire while your Chaperone account remains active, unless a particular program clearly states different rules before you participate. If Chaperone introduces expiration in the future, new expiration rules will be applied prospectively with reasonable notice.
If you voluntarily close your account, unredeemed points remaining when the account is closed are forfeited, except where applicable law requires otherwise. Where practicable, Chaperone will make your current point balance available before final account closure so you have an opportunity to redeem eligible points. If Chaperone closes your account for reasons unrelated to misconduct, we may provide a reasonable opportunity to redeem valid earned points before closure where practicable.
Fraud, abuse, and errors
Chaperone may withhold, correct, adjust, reverse, or cancel points or reward requests if we reasonably determine that points were awarded in error, activity was duplicated, a technical error affected the balance, points were generated through automated activity, multiple or fraudulent accounts were used, activity was manipulated to improperly generate points, a user engaged in fraud or abuse, or a reward request violates these Terms.
Redemption and reward availability
Unless a particular program states otherwise, the minimum reward redemption is $5 in available reward value. Redemption requests may be subject to verification and review before fulfillment. You may request cancellation while a redemption remains pending; a reward generally cannot be cancelled after it has been approved or fulfilled.
Available rewards, denominations, point-earning opportunities, and reward providers may change. Earning points does not guarantee that a particular reward or denomination will remain permanently available. If a requested reward becomes unavailable before fulfillment, Chaperone may allow you to select another available reward of equal or greater value or allow the redemption to remain pending until a suitable option becomes available.
Chaperone may offer third-party rewards, including Amazon.com Gift Cards. Once issued, a third-party reward is subject to the issuer’s terms and restrictions. You are responsible for maintaining accurate delivery information. If a reward is sent to an outdated or incorrect address, Chaperone may attempt to assist when the reward has not been redeemed and the issuer permits replacement, but replacement cannot be guaranteed after redemption or use.
You are responsible for taxes, if any, associated with rewards you receive. Chaperone may request information or provide tax reporting if required by applicable law. The user reward system is separate from compensation or incentive programs available to Peer Coaches.
14. Feedback
If you voluntarily send ideas, suggestions, recommendations, or feedback about the Service, you authorize Chaperone to use that feedback without restriction or compensation. This does not give Chaperone ownership of private support conversations or other personal information merely because they may contain comments about the Service.
15. Intellectual Property
Chaperone and its licensors own the Service and content made available through it, except for Your Content and third-party materials. This may include software, product design, branding, logos, educational materials, graphics, tools and exercises, assessment presentation, program structure, and platform content.
Subject to these Terms, Chaperone gives you a limited, personal, revocable, non-exclusive, non-transferable right to access and use the Service for its intended purposes. You may not copy, reproduce, distribute, sell, license, publicly display, or commercially exploit Chaperone content except where permitted by law or expressly authorized by us.
16. Third-Party Services and Content
Chaperone may link to or integrate services operated by third parties, including emergency or crisis resources, educational resources, communications services, calendar services, reward providers, and other websites or services. Third-party services are governed by their own terms and privacy practices. Chaperone is not responsible for a third-party service merely because we link to or integrate with it.
17. Availability and Changes to the Service
We work to keep Chaperone available and functioning, but do not guarantee that the Service will always be available, uninterrupted, error-free, free from delay, compatible with every device, available in every geographic area, or offered with the same features indefinitely. We may modify, add, suspend, restrict, or discontinue features as Chaperone evolves. Where a change materially affects user rights or privacy practices, we will provide notice when required.
18. Suspension and Termination
You may stop using Chaperone at any time and may request account closure through the available account or privacy process. Chaperone may restrict, suspend, or terminate access when reasonably necessary because of violation of these Terms, fraud or reward manipulation, threatening or abusive conduct, attempts to compromise Chaperone systems, illegal use, serious or repeated misuse, safety concerns, eligibility or geographic restrictions, or operational or legal requirements.
Where reasonable and appropriate, we may warn a user or provide an opportunity to correct conduct before termination. We may act immediately when circumstances reasonably require it to protect users, Peer Coaches, other persons, or Chaperone. Account closure does not necessarily require immediate deletion of all information; data handling after closure is governed by our privacy notices, retention practices, and applicable law.
19. Disclaimer of Warranties
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, CHAPERONE IS PROVIDED “AS IS” AND “AS AVAILABLE.” CHAPERONE AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AND SERVICE PROVIDERS DISCLAIM WARRANTIES THAT MAY OTHERWISE ARISE BY LAW, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, EXCEPT TO THE EXTENT A WARRANTY CANNOT LAWFULLY BE DISCLAIMED.
We do not warrant that Chaperone will meet every user’s individual needs, produce a particular emotional, behavioral, health, or other outcome, provide a particular Peer Coach, always produce accurate AI-generated information, operate without interruption or error, or correct every defect. Nothing in these Terms limits rights or warranties that applicable law does not permit us to waive.
20. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, CHAPERONE AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, OUR AGGREGATE LIABILITY ARISING FROM OR RELATING TO CHAPERONE OR THESE TERMS WILL NOT EXCEED THE GREATER OF $100 OR THE AMOUNT YOU PAID DIRECTLY TO CHAPERONE FOR THE SERVICE DURING THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM. Because the initial launch does not include paid direct-to-consumer subscriptions, the $100 floor prevents this proposed cap from reducing to zero.
These limitations do not apply to liability that cannot lawfully be limited or excluded.
21. Indemnification
To the extent permitted by applicable law, you agree to be responsible for losses, claims, or expenses reasonably arising from your unlawful misuse of Chaperone, intentional violation of these Terms, infringement of another person’s rights, fraud, or deliberate manipulation of the Service. This provision is not intended to require you to indemnify Chaperone for Chaperone’s own negligence, intentional misconduct, or other liability that applicable law does not permit us to shift to you.
22. Resolving Disputes
Informal resolution first
Before initiating arbitration or litigation, you and Chaperone agree to make a reasonable good-faith effort to resolve the dispute informally. A party initiating a dispute should provide written notice describing the person’s name and contact information, the issue, the relevant account if applicable, and the requested resolution. Notice to Chaperone may be sent to privacy@chaperone.health or by mail to Chaperone Health, Inc., 1500 N Grant St #11603, Denver, CO 80203. The parties will have 30 days after receipt of notice to attempt informal resolution.
Individual arbitration
If a dispute is not resolved informally, either party may elect binding individual arbitration administered by the American Arbitration Association (AAA) under its applicable Consumer Arbitration Rules, except where applicable law prohibits enforcement of this requirement. The Federal Arbitration Act governs the interpretation and enforcement of this arbitration provision to the extent applicable. Arbitration will be conducted on an individual basis.
Small claims and class-action waiver
Either party may bring an eligible individual claim in small claims court instead of arbitration. To the extent permitted by law, you and Chaperone agree that claims will be brought only in an individual capacity and not as a plaintiff or class member in a class, consolidated, collective, or representative action.
Right to opt out
You may opt out of the arbitration and class-action-waiver provisions by sending written notice to privacy@chaperone.health or the mailing address above within 30 days after first accepting these Terms. Your notice must include your name, the email address associated with your Chaperone account, and a clear statement that you are opting out of arbitration. Opting out will not affect your ability to use Chaperone.
Exceptions
Nothing in this section prevents either party from bringing an eligible small-claims action, seeking emergency injunctive relief where necessary to prevent imminent misuse, unauthorized access, or infringement, or exercising rights that applicable law does not permit to be subjected to arbitration.
23. Governing Law and Venue
These Terms are governed by the laws of the State of Colorado, without regard to conflict-of-law principles, except where applicable consumer law requires otherwise. For disputes not subject to arbitration, you and Chaperone consent to jurisdiction and venue in the appropriate state or federal courts located in Denver, Colorado, except where applicable law provides otherwise.
24. Changes to These Terms
We may update these Terms as Chaperone changes. When we make material changes, we will provide reasonable notice as appropriate. Your continued use of Chaperone after updated Terms become effective constitutes acceptance of the revised Terms where permitted by law. If applicable law requires affirmative acceptance of a change, we will request it.
25. Miscellaneous
These Terms, together with incorporated policies or additional terms applicable to specific Chaperone features, constitute the agreement between you and Chaperone concerning your use of the Service. If a provision is held invalid or unenforceable, the remaining provisions will remain in effect to the extent permitted by law. Failure to enforce a provision does not waive our right to enforce it later. You may not assign your rights under these Terms without our consent. Chaperone may assign these Terms in connection with a merger, acquisition, reorganization, sale of the business, or similar transaction, subject to applicable law. Section headings are for convenience and do not alter the meaning of these Terms.
26. Contact Us
Questions about these Terms may be sent to privacy@chaperone.health or mailed to Chaperone Health, Inc., 1500 N Grant St #11603, Denver, CO 80203.
